SERVICE AREAS

General Counsel Services
People who own or manage closely-held businesses need seasoned business lawyers, just like people in large, publicly traded companies. We fill that need by serving as the client’s on-going outside general counsel. We develop a close, long-term relationship with the client, and deal with your legal issues as they arise. Unlike inside counsel, you hire and pay us only when you need us.

Special Projects
Some of our clients don’t need our on-going general counsel services, but want the help of veteran business lawyers for particular projects. In-state and out-of-state lawyers also ask us to help with matters that require our expertise, and we take special care to preserve the relationship between those lawyers and their clients. Accountants and other professionals refer their clients to us as well for special projects. We can help your business on a case-by-case basis with any of the issues set out in our description of General Counsel Services.

Start Ups
We’ve helped many start-up businesses form corporations, limited liability companies, partnerships, and other entities. We work with the client’s tax advisor to determine the best capital structure for the business. We provide advice regarding financing and put in place at the outset the appropriate management and decision-making arrangements. We help with key employment issues, such as executive employment agreements, stock options, stock appreciation rights and performance (phantom) stock. Henke Bartram, PLLC develops shareholder agreements, co-owner agreements and other arrangements among the principals of the business to help smooth both daily operations and major events in the life of your business.

Dispute Resolution

• Partnership disputes and buy-outs
• Shareholder disputes and buy-outs
• Business acquisition disputes
• Real property disputes, including breach of sale warranties, adverse   possession, title, and boundary line issues
